Terms of Service

These Terms of Service ("Terms") are an agreement between you and TaskD, Inc. ("TaskD," "we," "us") and govern your use of taskd.sbs and the TaskD apps (the "Service"). If you use the Service on behalf of an organization, you agree to these Terms for that organization and confirm that you have authority to do so.

1. Accounts and workspaces

You must be at least 16 to use the Service. Give accurate information when you sign up, keep your password secure, and tell us right away at security@taskd.sbs if you believe your account has been compromised. You are responsible for activity under your account. Workspace owners and admins control membership, permissions, and content in their workspace.

2. Plans and trials

The Starter plan is free for workspaces with up to five members. The Team and Business plans are paid per seat. A seat is a member who can edit content; guests with view-only access don't count as seats. We may offer a free trial of a paid plan. When a trial ends, the workspace returns to Starter unless you add a payment method.

3. Billing

Paid plans are billed in advance, monthly or annually, and renew automatically until you cancel. When you add seats, we charge a prorated amount for the rest of the billing period. Prices don't include taxes, which we add where required. We will give at least 30 days' notice before a price change applies to your next renewal. Fees are non-refundable except where the law requires otherwise or where these Terms say so.

4. Cancellation and downgrades

You can cancel or downgrade at any time in Settings. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. If you downgrade below what the new plan allows, such as more than five members on Starter, you will need to remove members before the change takes effect.

5. Acceptable use

You agree not to:

  • break any law or infringe anyone's rights;
  • upload malware or try to gain unauthorized access to the Service or other accounts;
  • send spam or unsolicited messages through the Service;
  • interfere with the Service's performance, including by excessive automated requests beyond published API limits;
  • reverse engineer the Service except as the law permits;
  • resell the Service without our written permission.

6. Your content

You own your Customer Content. You grant TaskD a limited license to host, copy, process, and display it only as needed to provide and support the Service. You are responsible for having the rights to the content you add. You can export your content at any time while your account is active and for 30 days after cancellation.

7. Our Service

TaskD owns the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback, we may use it without any obligation to you.

8. Third-party services

The Service connects with products made by other companies, such as Jira, monday.com, Slack, GitHub, and Google Calendar. Your use of those products is governed by their own terms, and we are not responsible for them.

9. Availability and changes

We work to keep the Service available and to announce planned maintenance in advance. We may change or remove features over time. If we remove a feature that is material to a paid plan, we will tell you in advance, and you may cancel and receive a prorated refund of prepaid fees.

10. Suspension and termination

We may suspend or terminate access if you seriously or repeatedly breach these Terms, fail to pay, or create a risk to the Service or others. Where we reasonably can, we will notify you first and give you a chance to fix the problem. You can stop using the Service at any time.

11. Disclaimers

The Service is provided "as is" and "as available." To the extent the law allows, TaskD disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the extent the law allows, TaskD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. TaskD's total liability for any claim related to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or $100.

13. Indemnification

You will defend and indemnify TaskD against claims by third parties arising from your Customer Content or your breach of these Terms, and pay any resulting damages and reasonable legal fees.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify account owners by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
